Where are offshore funds generally established? What are the common forms of organization?

Offshore funds are usually domiciled in offshore jurisdictions such as the BVI, Cayman Islands, Bahamas and Bermuda, as they are fairly regulated and tax free for non-local income, and generally allow funds to be offered to global investors once established.

The Cayman Islands, as the world's largest offshore fund domicile, has a mature legal system and is highly attractive to international capital. The vast majority of offshore PE/VC funds currently investing in China or other jurisdictions are established in the Cayman Islands.

Among Cayman funds, Segregated Portfolio Companies, or SPCs, are the most popular type of organizational structure. SPCs are commonly used in investment fund or mutual fund structures, including multi-level hedge funds and umbrella funds, to provide protection against cross-liability issues between assets and liabilities in the structure. It also includes multi-part debt issuance vehicles, real estate development, securitization transactions and derivative transactions.
